Position Summary

 

The Hub Project is seeking an experienced Corporate Governance and Contracts Specialist who will be a primary support for The Hub’s in-house counsel and partner to the Finance and Campaign Operations team. The role will be responsible for corporate governance and the start-to-finish contracting process, including collaborating with internal and external stakeholders. The Corporate Governance and Contracts Specialist will work with a team of passionate and talented staff within the organization to support dynamic and effective issue advocacy campaigns. This position is critical to the successful operation of our programs, ensuring efficiency and compliance with protocols and best practices. 

 

As the Corporate Governance and Contracts Specialist, you will manage:

 

Corporate Governance (40%)

  • Manage corporate filings and records including incorporation documents, regulatory filings, internal policy acknowledgements, and other documentation
  • Coordinate board meetings and facilitate communications between directors and relevant staff
  • Manage development of board materials, including presentations, resolutions, and financial reports – in cooperation with relevant program, legal, and finance personnel
  • Collaborate with counsel to monitor adherence to relevant laws, regulations, policies, and best practices
 

Contracts (40%)

  • Manage the lifecycle of contracts and amendments, from initial request to execution, guiding stakeholders to secure necessary services
  • Prepare contracts with attention to detail, using contract templates where possible and ensuring the accuracy and completeness of the information
  • Collaborate closely with stakeholders at all levels to identify contract and amendment needs and preferences
  • Serve as the primary point of contact on contract-related matters, providing guidance and support as needed
  • Facilitate coordination and communication between program teams, legal, finance, and account managers, as well as vendors
  • Continuously evaluate and enhance existing processes and support the development of new procedures to optimize efficiency
  • Assist the finance team with ensuring contract-related invoices are accurate and in alignment with contract terms
  • Work closely with counsel to identify legal issues and ensure compliance with regulatory requirements
     

Legal Support (20%)

  • Assist counsel as needed to provide timely and accurate guidance to Hub project teams
 

About You:

  • Experience working in corporate governance, contract management, or similar legal or administrative support role
  • Familiarity with 501(c)(3), 501(c)(4), and political activity rules preferred, but not required 
  • Strong organizational skills and attention to detail
  • Able to work well in a fast-paced environment with competing priorities
  • Effective verbal and written communication skills, with ability to articulate concepts to stakeholders of all levels in the organization
  • Experience working with people from diverse racial, ethnic, and socioeconomic backgrounds, and able to incorporate the perspectives of multiple communities, particularly those from marginalized communities, into decision-making processes
  • Demonstrated commitment to building a just and inclusive economy that provides opportunity and dignity to all Americans and a passion for preserving and strengthening democracy
 

Benefits

Comprehensive benefits package that includes 100% employer-paid health, dental, and vision insurance for employees (and their families). Employees are able to enroll in 401k retirement plan and are eligible for a 3% automatic contribution and up to a 3% employer match on 401k contributions. Employees are also eligible for pre-tax transportation benefits. Employees will receive 120 hours of vacation time, 80 hours of health leave, up to 2 days of casual leave, and 20 hours of volunteer leave annually. Employees will also receive 13 paid holidays throughout the calendar year. Employees are eligible for 12 weeks of paid family and medical leave after 90-days of employment.
